Terms of Service

1. About MAPD Analytics
These Terms apply to MARKETING PLATFORM SOLUTIONS LTD, trading as MAPD Analytics ("MAPD", "we", "us"). MAPD provides business data integration, cloud data infrastructure, analytics, dashboards, reporting and related technical services.

2. Scope of these Terms
These Terms apply to:
- Use of the public MAPD Analytics website.
- Submission of enquiries.
- Access to MAPD-provided analytics environments and services.
- Use of connected-platform integrations.
- Related implementation and support services.
Specific client services may also be governed by a proposal, order form, statement of work, service agreement or data-processing agreement. If there is a conflict, the signed client agreement takes priority over these public Terms for that client engagement.
3. Acceptance and eligibility
By using the website or service, you agree to these Terms and our Privacy Policy. You must:
- Be at least 18 years old.
- Be acting for business purposes.
- Have authority to act for and bind the relevant business.
- Have authority to access and connect each selected platform, account and dataset.
- Provide accurate information.
If you do not agree, you must not use the service or connect an account.
4. The public website
The public website provides information about MAPD Analytics and allows prospective clients to submit enquiries. Submitting an enquiry does not create a client relationship, and MAPD is not required to accept a project. Website content is general information and is not professional legal, financial, accounting or tax advice. Examples, demonstrations and illustrative results do not guarantee identical outcomes.
5. MAPD services
MAPD may provide:
- Data-source integration and cloud infrastructure setup.
- Data ingestion pipelines, data modelling and validation.
- Dashboards and reports.
- AI-assisted querying or analysis.
- Monitoring, maintenance and support.
- Other agreed data or analytics services.
The exact scope, deliverables, data sources, environments, fees, support arrangements and timescales will be defined in the applicable client agreement or written project scope.
6. Client environments
MAPD may provision client-specific Google Cloud projects, environments or logically separated cloud resources. The infrastructure arrangement may differ by engagement, and "dedicated" does not necessarily mean physically dedicated hardware. The client's access, ownership, billing and administrative responsibilities will be defined in the applicable agreement. Clients must not interfere with security controls or attempt to access another client's environment.
7. Connected Platforms
"Connected Platforms" are the third-party platforms, accounts and systems the client chooses to connect to MAPD's service. These may include advertising, analytics, social-media, booking, payment, CRM, e-commerce and other business systems.
- The client retains ownership and control of its source accounts and data.
- The client must have the necessary authority and permissions to grant MAPD access.
- The client authorises MAPD and its approved service providers to retrieve and process selected data to provide the agreed service.
- MAPD will use official OAuth, partner access, service accounts, API credentials or other supported authorization methods where appropriate. Clients should not provide passwords directly to MAPD where an official authorization method is available.
- The client is responsible for maintaining appropriate access and permissions.
- Access may stop if authorization expires, is revoked, permissions change, or the platform changes or withdraws its API. MAPD may ask the client to reconnect or reauthorise an account.
- MAPD cannot guarantee the availability, completeness or continued operation of any third-party API.
8. TikTok integration
Users may voluntarily connect an authorised TikTok account through TikTok's official authorization process. Depending on the permissions granted, MAPD may retrieve authorised account profile information, account statistics and published-video information to provide analytics and reporting.
- MAPD does not use the requested permissions to publish, edit or delete TikTok content.
- Users can revoke TikTok access at any time.
- TikTok is a third-party platform operating under its own terms and privacy policy, and users must comply with them.
- MAPD Analytics is not affiliated with, sponsored by, certified by or endorsed by TikTok.
9. Client responsibilities
Clients and authorised users must:
- Provide accurate and complete information.
- Ensure they have lawful authority to supply and connect data.
- Maintain necessary platform permissions.
- Obtain any required notices, permissions or consents from employees, customers and other individuals.
- Configure access using appropriately authorised accounts.
- Protect account credentials, access links and login details.
- Notify MAPD promptly of suspected unauthorised access or security incidents.
- Review data quality, dashboards, reports and outputs.
- Verify important information before relying on it for material business decisions.
- Use the service in accordance with applicable law and third-party platform rules.
10. Acceptable use
You must not use the service for:
- Illegal, fraudulent, deceptive or abusive activity.
- Accessing accounts or data without authority, or uploading or connecting unlawfully obtained data.
- Attempting to bypass authentication, authorization or security controls, or to access another client's environment.
- Introducing malware or harmful code.
- Disrupting the service or making excessive automated requests.
- Reverse engineering, except where the law expressly permits it.
- Violating privacy, confidentiality, intellectual-property or platform rights.
- Making unlawful automated decisions about individuals.
MAPD may suspend access where reasonably necessary to investigate or prevent misuse or security risks.
11. Data ownership and permitted processing
Clients retain ownership of their source data and Connected Platform data. The client gives MAPD a limited, non-exclusive right to access, copy, transform, store and otherwise process that data only as reasonably necessary to deliver the agreed services, maintain and secure the service, provide support, meet legal obligations and exercise legal rights. MAPD does not acquire ownership of client data.
Data-protection responsibilities are further described in the Privacy Policy and any applicable data-processing agreement.
12. MAPD intellectual property
MAPD retains ownership of its pre-existing software, templates, deployment tooling, data models, methods, documentation, designs, reusable code, know-how and processes. Ownership or licensing of bespoke deliverables will be defined in the relevant client agreement. MAPD does not claim ownership of the client's underlying business data.
13. Confidentiality
Each party must protect the other party's confidential information, use it only for the agreed purpose, limit disclosure to people and service providers who need access, and apply reasonable safeguards. Disclosure is permitted where legally required. More detailed confidentiality obligations may appear in the signed client agreement.
14. Service providers
MAPD may use service providers and subprocessors to deliver the service, including cloud infrastructure, connection management, dashboards, email, monitoring, security, support and approved AI infrastructure. MAPD remains responsible for its own contractual obligations, subject to the applicable client agreement.
15. Third-party platforms
Connected Platforms are independent third-party services. MAPD is not responsible for:
- Third-party outages, API limitations, or API or permission changes.
- Account suspensions or restrictions.
- Incorrect or incomplete source data.
- Provider-imposed rate limits or features discontinued by a third party.
- Actions taken independently by a Connected Platform.
MAPD may modify or discontinue an integration if a provider makes continued operation impractical, unlawful or insecure.
16. Analytics and AI limitations
Dashboards, calculations, reports and AI-generated answers depend on the accuracy and completeness of source data, the availability of Connected Platforms, the client's selected configuration, and the assumptions and transformation rules agreed with the client. Outputs may contain errors, omissions or delays.
Clients must review important outputs before making significant commercial, operational, financial, legal or personnel decisions. The service is not legal, tax, accounting, investment or regulated financial advice.
17. Fees and payment
Fees, invoicing, taxes and payment terms are defined in the applicable proposal, order form or client agreement. Where MAPD offers a free pilot, its scope and duration may be limited, acceptance into the pilot is not guaranteed, and continued, expanded or production service may require a paid agreement. No fee will be charged merely because a pilot ends unless the client expressly agrees to a paid service. MAPD does not introduce automatic subscription charges without express agreement.
18. Availability, maintenance and changes
MAPD aims to provide a reliable service but does not guarantee uninterrupted, delay-free or error-free availability. MAPD may carry out planned or emergency maintenance, security updates, infrastructure changes, modifications required by law, and changes required by Connected Platforms. Where practical, MAPD will provide reasonable notice of material changes affecting a contracted service.
19. Suspension and termination
MAPD may suspend or restrict access where reasonably necessary because of:
- Security risks or unauthorised or unlawful use.
- Material breach or non-payment.
- Loss of required platform authorization or third-party platform restrictions.
- Legal or regulatory requirements.
- Risk to MAPD, a client or another person.
Termination rights may also be defined in the applicable client agreement. On termination: Connected Platform access should be disabled where appropriate; client data will be handled according to the client agreement, Privacy Policy, data-processing agreement and applicable law; outstanding payment obligations remain due; and provisions intended to survive termination will continue to apply.
20. Disclaimers
Unless expressly stated in a signed agreement:
- The website and service are provided with reasonable care and skill.
- MAPD does not guarantee that all source data is accurate, complete or continuously available.
- MAPD does not guarantee a particular revenue increase, saving, performance result or business outcome.
- Demonstrations and examples are illustrative.
Nothing in these Terms excludes statutory obligations that cannot legally be excluded.
21. Liability
Nothing in these Terms excludes or limits liability where it would be unlawful to do so, including liability for death or personal injury caused by negligence, fraud or fraudulent misrepresentation, or any other liability that cannot legally be excluded. Any specific liability limits or caps in a signed client agreement take priority.
Subject to applicable law and any signed agreement, MAPD is not responsible for indirect or consequential losses that were not reasonably foreseeable, or losses caused by third-party platforms outside MAPD's reasonable control.
22. Indemnity
A client may be responsible for losses arising from data or accounts supplied without lawful authority, the client's unlawful use of the service, or the client's material breach of third-party rights or platform terms. This responsibility is limited to matters within the client's control.
23. Changes to these Terms
MAPD may update these Terms to reflect service, legal, security or third-party platform changes. The "Last updated" date will be revised and material changes will be communicated where appropriate. Changes to a signed client agreement require the process specified in that agreement; these public Terms do not silently override a signed client agreement.
24. Governing law and jurisdiction
These Terms are governed by the laws of England and Wales, and the courts of England and Wales have jurisdiction, subject to any different dispute-resolution terms in a signed client agreement and any mandatory legal rights that cannot be excluded.
25. General provisions
- No waiver: a failure to enforce a provision is not a waiver of it.
- Severability: if a provision is found unenforceable, the rest of the Terms continue to apply.
- Assignment: neither party may assign its obligations without the other's consent, except as part of a legitimate business sale or restructuring.
- Entire agreement: these Terms, together with any applicable signed client documents, form the agreement between the parties.
- No third-party rights: no one other than the parties has rights under these Terms unless expressly stated.
- Events outside reasonable control: neither party is liable for delays caused by events beyond its reasonable control.
- Notices: formal notices may be given by email and other electronic communications.
